General Terms and Conditions and Consumer Information of Purple Spices L.A.B. UG (haftungsbeschränkt)

§ 1 Scope and Definitions

1.1 These General Terms and Conditions (hereinafter "GTC") of Purple Spices L.A.B. UG (haftungsbeschränkt), Lichtburgring 12, 13355 Berlin (hereinafter "Seller" or "we"), apply to all contracts, deliveries, and services that a customer concludes with us via our online shop at https://purplespices.com regarding spices, spice blends, and related accessories.

1.2 Deviating terms of the customer are not recognized unless we have expressly agreed to their validity in writing.

1.3 A consumer within the meaning of these GTC is a natural person who enters into a legal transaction for purposes that are predominantly neither commercial nor self-employed (§ 13 BGB - German Civil Code). An entrepreneur is a natural or legal person or a partnership with legal capacity who, when concluding a legal transaction, acts in the exercise of their commercial or independent professional activity (§ 14 BGB).

1.4 If we offer deliveries or services to entrepreneurs, special provisions for entrepreneurs apply – to the extent legally permissible – which are separately noted in these GTC.

§ 2 Conclusion of Contract

2.1 The presentation of products in our online shop does not constitute a binding offer, but an invitation for the customer to submit an offer (invitatio ad offerendum).

2.2 The customer can collect the desired goods in a shopping cart by clicking the "Add to Cart" button and submit a binding offer by clicking "Order with obligation to pay" through the further ordering process (entering address, payment, and shipping data).

2.3 Before placing the order, the customer always has the opportunity to review all entries and correct any errors.

2.4 The receipt of the order will be immediately confirmed to the customer by email (acknowledgement of receipt). This acknowledgement of receipt does not yet constitute acceptance of the offer, but merely informs about the receipt of the order.

2.5 A purchase contract is only concluded when we accept the offer by an explicit order confirmation via email or by shipping the goods. The shipping confirmation can simultaneously be the order confirmation.

2.6 Should an ordered item not be available, we reserve the right not to accept the offer. In this case, we will inform the customer immediately and refund any payments already received without delay.

§ 3 Prices, Shipping Costs and Payment Terms

3.1 The stated prices are total prices and include the statutory value-added tax, unless expressly stated otherwise.

3.2 In addition to the product prices, shipping and packaging costs will apply. The exact amount will be clearly displayed to you before placing the order in the checkout. The following shipping costs apply:

Germany (3–4 business days):

• Parcel S (0–2 kg): €6.19
• Parcel M (2–5 kg): €7.69
• Parcel L (5–10 kg): €10.49
• For orders over €50.00: free shipping

Outside Germany, within the EU (6–10 business days):

• Parcel S (0–2 kg): €14.49
• Parcel M (2–5 kg): €17.49
• Parcel L (5–10 kg): €22.49
• For orders over €100.00: free shipping

3.3 The purchase price is due upon conclusion of the contract.

3.4 Payment is made using the payment methods offered in the shop (e.g., Visa, Mastercard, American Express, Apple Pay, Google Pay, Klarna).

3.5 If the "Prepayment/Bank Transfer" payment method is selected, the amount must be transferred without deduction immediately after conclusion of the contract, unless a different payment time has been expressly agreed upon.

3.6 The customer can only offset undisputed or legally established claims.

§ 4 Delivery, Delivery Time and Force Majeure

4.1 Unless otherwise agreed, delivery will be made ex warehouse to the delivery address specified by the customer. We deliver to Germany, Austria and Slovenia.

4.2 The estimated delivery time is indicated in the shop for individual products or at checkout. This information is non-binding, unless expressly marked as binding.

4.3 For consumers, the risk of accidental loss or accidental deterioration of the goods, according to § 475 para. 2 BGB, passes only upon the actual handover of the goods to the customer or a person authorized to receive them, regardless of whether the customer requested the shipment.

4.4 If the customer refuses to accept the goods without a valid reason or does not accept them on time, we may, after an unsuccessful reasonable grace period, withdraw from the contract or demand compensation for damages.

4.5 In cases of force majeure or other unforeseeable circumstances for which we are not responsible (e.g., strikes, official measures, natural disasters, failure of suppliers), delivery times will be extended accordingly. If the impediment lasts longer than four weeks, we are entitled to withdraw from the contract in whole or in part. Any payments already made will be refunded immediately in this case.

§ 5 Retention of Title

The delivered goods remain our property until full payment of all claims arising from the respective purchase agreement.

§ 6 Liability for Defects and Warranty

6.1 The statutory warranty rights according to §§ 434 et seq. BGB apply.

6.2 In the event of defects, the customer is initially entitled to supplementary performance (rectification or replacement delivery at their discretion). If the supplementary performance fails, is impossible, or is refused by the seller, the customer can, at their choice, demand a reduction in the purchase price (reduction) or withdraw from the contract.

6.3 Different regulations apply to entrepreneurs, in particular the obligation to give notice of defects according to § 377 HGB, as well as legally permissible limitations of the warranty.

6.4 We are liable without limitation for intent and gross negligence, for breach of essential contractual obligations (cardinal obligations) even for simple negligence - limited to the typically foreseeable damage - as well as for personal injury. Liability under the Product Liability Act remains unaffected. Otherwise, our liability is excluded.

6.5 These liability regulations also apply to our vicarious agents and legal representatives.

§ 7 Right of Withdrawal for Consumers

7.1 Right of Withdrawal

Consumers have the right to withdraw from this contract within 14 days without giving any reason. The withdrawal period begins from the day on which the consumer or a third party named by him, who is not the carrier, has taken possession of the goods.

To exercise the right of withdrawal, the consumer must inform us,

by means of a clear declaration (e.g., by email or letter) of their decision to withdraw from this contract. To meet the withdrawal deadline, it is sufficient for the consumer to send their communication concerning their exercise of the right of withdrawal before the withdrawal period has expired.

7.2 Consequences of Withdrawal

If the consumer withdraws from the contract, we will reimburse all payments received from the consumer, including delivery costs (with the exception of additional costs arising if the consumer chose a type of delivery other than the least expensive standard delivery offered by us), without undue delay and at the latest within 14 days from the day on which we received the notification of withdrawal. For this repayment, we will use the same means of payment that the consumer used for the original transaction, unless expressly agreed otherwise.

We may withhold reimbursement until we have received the goods back or the consumer has supplied evidence of having sent back the goods, whichever is the earliest.

The consumer must return the goods immediately and in any case no later than 14 days from the date of sending the withdrawal notification to the following address:

The direct costs of returning the goods are borne by the consumer. The consumer only has to pay for any diminished value of the goods if this diminished value is due to handling of the goods other than what is necessary to establish the nature, characteristics, and functioning of the goods.

7.3 Exclusion of the Right of Withdrawal

The right of withdrawal does not exist or expires prematurely for:

• sealed goods that are not suitable for return for health protection or hygiene reasons if their seal has been removed after delivery – since our products are food, this applies in particular to opened spice packaging,
• goods that have been inseparably mixed with other goods after delivery due to their nature,
• custom-made or personalized products.

Unopened and original sealed products are eligible for withdrawal within the framework of legal provisions.

§ 8 Alternative Dispute Resolution

8.1 We are neither obliged nor willing to participate in a dispute resolution procedure before a consumer arbitration board.

8.2 The European Commission provides a platform for online dispute resolution (OS), which you can find at https://ec.europa.eu/consumers/odr/. Our email address is: hello@purplespices.com.

§ 9 Storage of the Contract Text

9.1 Before placing the order, the customer always receives an overview of their entries and the goods to be ordered, as well as the opportunity to correct any errors.

9.2 After completing the order, we will send you an order confirmation with all order details and these GTC to your email address. We recommend saving or printing this email.

9.3 The customer's personal data will only be processed within the framework of legal provisions. For more information, please refer to our Privacy Policy.

§ 10 Applicable Law and Jurisdiction

10.1 Contracts between us and the customer are governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG), unless compelling consumer protection regulations of the consumer's country of residence conflict with this.

10.2 If the customer is an entrepreneur, the exclusive place of jurisdiction for all disputes arising from and in connection with this contract is Berlin.

10.3 For consumers, the statutory places of jurisdiction apply. Consumers residing in the EU may also assert claims before the courts of their country of residence.

10.4 The place of performance is – as far as legally permissible – our registered office in Berlin.

§ 11 Severability Clause

11.1 Should individual provisions of these GTC be or become wholly or partially invalid, the validity of the remaining provisions shall remain unaffected.

11.2 In place of the invalid provision, an effective provision shall apply which comes as close as possible to the economic purpose of the invalid clause.

All texts, images, graphics, layouts, and product descriptions in our online shop are protected by copyright. Any use – in particular duplication, publication, or electronic redistribution – requires our express written consent, unless expressly permitted by law.
